Terms of Service

Saga IT, LLC — OpenShare Beta Program
These Terms of Service (these “Terms”) are a binding agreement between Saga IT, LLC, a Florida limited liability company (“Saga IT,” “we,” “us”), and you, governing your access to and use of the OpenShare service at openshare.health, including its web application, APIs, documentation, and the OpenShare integration-engine plugin and gateway software (collectively, the “Service”).
The Service is currently offered as a free, pre-release beta. Read Sections 2 and 3 carefully: the Service must not be used with production systems or with real patient or personal data, and you use it entirely at your own risk.
1. Acceptance and Eligibility
Section titled “1. Acceptance and Eligibility”By clicking “I agree,” creating an account, or using the Service, you accept these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization. You must be at least 18 years old. If you do not agree to these Terms, do not use the Service.
2. Beta Program
Section titled “2. Beta Program”The Service is a beta release provided for evaluation and testing only. Accordingly:
- Features may be added, changed, broken, or removed at any time without notice.
- The Service may be interrupted, suspended, or discontinued at any time, in whole or in part.
- Data stored in or transmitted through the Service may be delayed, corrupted, or permanently lost. Do not rely on the Service to retain any data.
- We provide no service-level commitment, uptime guarantee, or support obligation.
- Access is by invitation and may be revoked at our discretion.
3. Prohibited Use of Production Systems and Regulated Data
Section titled “3. Prohibited Use of Production Systems and Regulated Data”This Section is a condition of your license to use the Service. During the beta:
- You must not connect the Service — including the OpenShare plugin, gateway, or any tunnel or channel it provides — to production systems, including any system used in the actual delivery of healthcare or other live business operations.
- You must not use the Service to transmit, store, or process protected health information (PHI) as defined by HIPAA, personally identifiable information (PII), payment card data, or any other data protected by law or regulation. Use only test, synthetic, or de-identified data.
- No Business Associate Agreement (BAA) is offered, and none is implied. Saga IT is not acting as a business associate under HIPAA with respect to the beta Service.
- You are solely responsible for the compliance of your own systems and conduct with HIPAA and all other applicable laws and regulations.
If you violate this Section, you do so at your own sole risk and you will indemnify Saga IT for the consequences as set out in Section 9.
4. Accounts and Security
Section titled “4. Accounts and Security”You agree to provide accurate registration information and keep it current. You are responsible for safeguarding your credentials, any multi-factor authentication devices, and any server credentials or secrets the Service issues to you, and for all activity under your account. Do not share accounts. Notify us promptly at security@saga-it.com of any suspected unauthorized access.
Directory participation. The Service includes a contact directory so beta participants can find one another and send connection (“peering”) requests. When you sign in, your display name and your organization name are listed in this directory and are visible to other signed-in beta participants. Directory participation is a standard part of using the beta and is enabled for all accounts; the directory exposes only your name and organization — never your email address, your data, servers, or credentials. 5. Acceptable Use
Section titled “5. Acceptable Use”You must not: (a) interfere with or disrupt the Service or its infrastructure; (b) attempt to probe, scan, or test the vulnerability of the Service without our prior written authorization; (c) access another user’s data or systems without authorization; (d) reverse engineer, decompile, or disassemble the Service, or otherwise attempt to derive its source code, underlying structure, or algorithms, except to the extent this restriction is prohibited by applicable law; (e) resell, sublicense, or provide the Service to third parties as a service bureau; (f) use the Service to violate any law or third-party right; (g) circumvent usage limits, tier gating, or access controls; (h) access or use the Service — or the ideas, features, functions, workflows, or user interface of the Service — to develop, or to assist anyone else in developing, a product or service that competes with the Service; (i) copy, frame, or mirror any part of the Service or its documentation, except as expressly permitted by these Terms; (j) use any robot, scraper, crawler, or other automated means to access the Service or to harvest or extract data, content, or software from it; (k) use the Service, its documentation, its software, or any output of the Service to train, fine-tune, or otherwise develop any machine-learning or artificial-intelligence model or system, or provide any of the foregoing as input to any AI or automated code-generation tool for the purpose of reproducing or approximating the Service or its functionality; (l) publish or disclose to any third party any benchmark or performance comparison of the Service without our prior written consent; or (m) remove, alter, or obscure any proprietary-rights notices in or on the Service.
6. Intellectual Property
Section titled “6. Intellectual Property”The Service, including all software, content, and trademarks, is owned by Saga IT or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service (including the plugin and gateway software we make available to you) solely for beta evaluation in accordance with these Terms. No other rights are granted, and no license is granted by implication, estoppel, or otherwise; all rights not expressly granted are reserved by Saga IT. Feedback you provide may be used by us without restriction or obligation.
The Service embodies trade secrets and confidential information of Saga IT. Non-public aspects of the Service — including the design and internals of the plugin and gateway software, non-public APIs and protocols, and any source code — are Saga IT’s confidential information, and you must not use or disclose them except as necessary to use the Service as these Terms permit. You may not use the OpenShare or Saga IT names, logos, or trademarks without our prior written permission.
You retain ownership of data and configurations you submit to the Service. You grant us a license to host and process them solely to operate, secure, and improve the Service.
7. Disclaimer of Warranties
Section titled “7. Disclaimer of Warranties”THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAGA IT DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. SAGA IT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DATA WILL NOT BE LOST. YOU USE THE BETA SERVICE ENTIRELY AT YOUR OWN RISK.
8. Limitation of Liability
Section titled “8. Limitation of Liability”TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) SAGA IT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) SAGA IT’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNTS YOU PAID SAGA IT FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. The exclusions and limits in this Section apply regardless of the theory of liability and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain exclusions, in which case they apply to the maximum extent permitted.
9. Indemnification
Section titled “9. Indemnification”You will defend, indemnify, and hold harmless Saga IT and its members, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service; (b) data or systems you connect to the Service; (c) your violation of these Terms, including any use of production systems, PHI, or PII in violation of Section 3; or (d) your violation of any law or third-party right.
10. Changes to These Terms
Section titled “10. Changes to These Terms”We may update these Terms from time to time. When we publish a new version, you will be required to review and accept it through the Service before continuing to use it. The current version number and publication date are displayed with this document. Your continued use after acceptance constitutes agreement to the updated Terms.
11. Suspension and Termination
Section titled “11. Suspension and Termination”We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for any suspected violation of these Terms. You may stop using the Service at any time and may request deletion of your account as described in the Privacy Policy. Sections 3, 5, and 6 through 13 survive termination.
12. Governing Law and Venue
Section titled “12. Governing Law and Venue”These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The state and federal courts located in Florida will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction and venue there.
13. General
Section titled “13. General”These Terms, together with the Privacy Policy, are the entire agreement between you and Saga IT regarding the beta Service and supersede any prior agreements on that subject. You acknowledge that a breach of Section 5 or Section 6 may cause Saga IT irreparable harm for which money damages would be an inadequate remedy, and that Saga IT is entitled to seek injunctive or other equitable relief for any such breach, without posting a bond, in addition to its other remedies. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
